User Agreement

The Brokersaathi platform contains the copyrighted material, trademarks and other proprietary information of The Holding Company, its directors and its licensors.

Except for that information which is in the public domain or for which you have been given explicit permission by The Holding Company, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. The products and services made available through this platform are protected by Intellectual Property Rights (IPR) held by The Holding Company and its directors. A Trademark application, 5982131, covers the products and services being offered in the Brokersaathi Platform.

Below listed are the terms of this agreement which govern the use of the Brokersaathi platform. By accessing the platform through the internet or any other electronic device, you acknowledge, accept and agree to the following terms of use, which are designed to make sure that the platform works for everyone. This agreement is effective from the time you visit Brokersaathi and avail any of its functionality or services. By accepting to the terms of use agreement, you are also accepting and agreeing to be bound by the Privacy Policy and the Listing Policy.

• Brokersaathi provides services for real estate/property and other connected services without any specific warranty of any specific result/outcome. You agree and understand that the platform is an internet enabled electronic platform that facilitates communication for the purposes of advertising and distributing information pertaining to real estate properties (residential & commercial). You further agree and understand that we do not endorse, market or promote any of the listings, postings or information, nor do we at any point in time come into possession of or engage in the distribution of any of the goods and/or services, you have posted, listed or provided information about on the Brokersaathi platform. While interacting with other Partners on this platform, with respect to any listing, posting or information we strongly encourage you to exercise reasonable diligence as you would in traditional offline channels and practice judgement and common sense before committing to or complete intended sale, purchase of goods or services or exchange of information.
• While making use of the platform and its services such as the discussion forums, comments and feedback and other services inter alia, you will post in the appropriate category or area and you agree that your use of the platform shall be strictly governed by these terms of use agreement including the policy for listing of your property/service which shall not violate the Listing Policy. The listing policy shall be read as part of this agreement and is incorporated in this agreement by way of reference.
• The Holding Company may modify this Agreement from time to time at its own discretion. Any alteration in this Agreement term shall be effective on sending an alert email to that effect to your email address as provided by you from time to time. You are supposed to check the provisions of this Agreement regularly to update yourself accordingly.

Your use of the platform implies your acceptance of change in this Agreement as effected from time to time.

• This platform is not to be and should not be construed as purporting to offer or inviting to offer any information or services to citizens of countries other than who are subject to the jurisdiction of and the laws of India. You agree that given the nature of the internet, even though Brokersaathi is targeted to Indian residents only, it may be accessed in other parts of the world. If you are not an Indian resident and yet use the platform, you acknowledge, understand and agree that you are doing so on your own initiative and risk and that it is your responsibility (and not The Holding Company) to make sure that use of the platform complies with all applicable local laws. If you are not an Indian resident, by using this platform and or submitting personally identifiable information or any other information in it, you expressly consent to the transfer of such data to India, and to the processing of such data on The Holding Company's India servers, where the data will be governed by Indian laws that may provide a level of data protection different than the other country.
• Brokersaathi does not provide any advice in this regard and shall not be liable to any person who enters into any business relationship with the entity whose name appears on this platform and/or any other party based on any information accessed from this platform or uses such information or is accessing any information for any investment, company affairs, legal, tax or accounting advice or advice regarding the suitability or profitability of a security or investment. No information on this platform must be construed as business/investment advice, and you should exercise due caution and or seek independent advice before entering into any business relationship with any entity or enters into any investment or financial obligation based on any information provided in the platform
• Brokersaathi is an electronic platform powered by internet intended to provide eas accessible information and also act as a marketing/advertising platform for Partners. It also provides a platform for Partners to connect through blogging, posting comments, networking, associations etc. Brokersaathi being envisioned as a facilitating platform for real estate, it will make all efforts to update information on the platform by collecting the useful information from other public advertisement mediums such as newspapers & internet. The owner of the said information can raise objection to the use of such public information if at all required by sending an e-mail to that effect at [email protected] and the said information shall be promptly removed from the platform upon suitable justification.

Brokersaathi assumes that the information displayed in public medium is displayed after due consideration by the advertiser and the use of such public information by Brokersaathi should not be construed as breach of privacy of any individual or company

Free consent - You state that your usage of Brokersaathi is a complete unqualified acceptance of yours relating to various Terms of agreement detailed in the disclaimer section of this Agreement.

You fully declare and undertake with a sound mind without any undue force, pressure, influence or coercion on you, that you shall be fully bound by the terms of this Agreement. You further undertake that in case any dispute arises out of and relating to the non-performances of any obligations as a Partner of the Brokersaathi platform or as a seeker of opinion, advice or consultancy from the services of the Brokersaathi platform or on account of non-payment of any dues in respect of the services rendered under this Agreement then the exclusive jurisdiction to file law suits against you, being the Partner, shall be in the courts at DELHI only.

• You must use the Brokersaathi platform in a manner consistent with any and all applicable local, state, and central laws and regulations as applicable in India.
• Any information/content in relation to any property or otherwise shall be submitted by you in the Brokersaathi platform only if you are authorised to submit such information by the legal owner of the said premises
• Brokersaathi may verify the registration data provided by you through its own sources and/or by asking documentary proof for any such information submitted by you during registration or thereafter (any time). If you provide any information that is untrue, inaccurate, not current or incomplete, or Brokersaathi has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Brokersaathi has rights to suspend or terminate your account and refuse an and all current or future use of the Brokersaathi platform and its services (or any portion thereof). Brokersaathi owns and retains all proprietary rights, including without limitation, all intellectual property rights in the Brokersaathi platform and its service.
• You shall not violate, or attempt to violate the security of the Brokersaathi platform and/or any websites linked to Brokersaathi or try to gain unauthorised access to any information regarded as private by other Partners of the platform, including but without limitation to accessing data and information not intended for you or logging onto a server or account which you are not authorised to access, attempting to probe, scan or test the vulnerability of a system or network or attempting to breach security or authentication

Suspension/Termination of Services

• Inactivity: The Holding Company shall manage the specific domain name created for you for purpose and shall manage server and/or hosting till the time you are active in Brokersaathi. The Holding Company can terminate hosting of the domain for inactive members of Brokersaathi. The data for such inactive Partners shall be held for a maximum of 6 month period and adequate notice must not be given for transfer of data before it is permanently deleted from systems & servers.
• Payment Defaults: The Holding Company shall offer credit facility to members as per usage and credit ratings arrived internally. You shall timely clear the dues towards The Holding Company and ensure that the outstanding amount is always within the credit limit specified by The Holding Company. In case of continued and/or repeated non payments/defaults on payments, The Holding Company has the right to terminate your Brokersaathi membership by giving 15 days termination notice in writing.
• Breach of Terms of Use, Posting Policy, Privacy Policy or Mala fide Intentions: The Holding Company has the right to immediately suspend and eventually terminate your Brokersaathi membership in case of breach of any guiding agreements, including those mentioned in this document. The Brokersaathi platform and its encompassing ecosystem, in spirit, is meant to be used merely for enhancing the business of members peacefully without infringing upon any specified, naturally understood or justified rights of The Holding Company, other Brokersaathi Partners & buyers. The Holding Company reserves the right to suspend and eventually terminate, in absence of proofs otherwise, your membership in case of perceived and/or proven mala fide intentions going against the said spirit of the Brokersaathi programme.
• Statutory Non Compliance: The Holding Company shall suspend and eventually terminate your membership in case of breach/non-compliance of any statutory requirement by you, including but not limited to Real Estate Regulation Act - RERA.
• The Holding Company and its Directors have in "good faith" made a very sincere attempt to chalk out a transparent and clear roadmap to utilise this product for the mutual benefit and growth of our real estate partners. We have accordingly used the industry best practices to ensure data integrity, infrastructure security and privacy of all our users is held and maintained with utmost care. Needless to say, all employees of The Holding Company are bound by Non-Disclosure Agreements and any lapses (intentionally or otherwise) on their behalf are dealt with, very seriously. While, The Holding Company has taken necessary security measures for all its products and continues to implement best practices being shared in the Information Technology community, we find that anti-social elements such as hackers keep devising new methods and techniques to disrupt the normal functioning and execution of any offering in the Information Technology world. The Holding Company hereby reaffirms that any hacking or hacking attempt is a crime which will be dealt with extreme seriousness and every possible measure will be taken to report such incidents to the respective cyber-crime wing so that strict action can be taken in this regard by the concerned officers While The Holding Company would take the aforementioned action and additionally follow-up with the cyber-crime officers to ensure the hacker(s) are tracked and put behind bars, it would also like to state that under no circumstances should the Directors of The Holding Company or The Holding Company in its entirety be held responsible (legally or financially) for any such antisocial attempt of hacking which is intended to malign the company or bring loss to the company or cause harm to any of its users or partners.
• Breach of Trust The Holding Company has undertaken the initiative of the Brokersaathi platform for general good and as a win-win solution for all stakeholders in the Real Estate Industry. The Holding Company shall never breach the Trust reposed by the members of the Brokersaathi programme and shall stand strong guard to this Trust!

The Holding Company, through its directors, shall take complete ownership to ensure that the data that Partners enter into the Brokersaathi platform is kept with utmost care and confidentiality. Incase at any point in time a member has the slightest of doubt on any system functionality or any conduct of The Holding Company or any of its employee/representative or any Partner of Brokersaathi, he/she shall bring it to the notice of The Holding Company by writing a detailed email to [email protected] with the subject line mentioning "Data Related Concern" & providing details of the concerned issue. The Holding Company treating the issue as a potential breach of trust shall, within justified time frame, revert with the detailed investigation report and actions taken to assuage the concerns put forth by the member. In case the reporting member is not satisfied with the resolution put forth, he/she is free to report the matter to the board of The Holding Company and await resolution of the issue.

• Arbitration: If any dispute arises between a Partner and The Holding Company arising out of use of the Brokersaathi platform or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of this Agreement, the dispute shall be referred to a sole Arbitrator who shall be an independent and neutral third party identified by The Holding Company. Decision of the Arbitrator shall be final and binding on both the parties to the dispute. The place of arbitration shall be Delhi. The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings
• THIS AGREEMENT between you and The Holding Company governs your use of the Brokersaathi platform. If any provision of the T&C in entirety or part thereof is inconsistent with or is held to be invalid/void by or under any law, rule, order or regulation of any Government or by the final adjudication of any court, such inconsistency or invalidity shall not affect the enforceability of any other provision of the Agreement
• The failure of The Holding Company to exercise or enforce any right or provision of the T&C shall not constitute a waiver or to enforce such right or provision subsequently
• The broker partner agrees to use the tools, systems, and platforms provided by PRPL wisely while adhering to the user agreement policy. He/she also agrees that the inventories, leads, product details, Resume, Home loan leads etc posted on the Brokersaathi platform for business generation are legitimate and not unsolicited.
• Jurisdiction: Courts at Delhi, India alone shall have the exclusive jurisdiction in all matters relating to these T&C of this agreement, irrespective of the territory and jurisdiction of your access to the Brokersaathi platform.
